Terms of Trade

Effective Date: January 1, 2024

1. Scope

These terms govern the sale and export of foxnut (Makhana) products by Wondermerch Trade ("Seller") to international buyers ("Buyer"). All orders are subject to these terms unless superseded by a signed contract.

2. Pricing & Quotations

All prices quoted are in USD unless otherwise stated. Quotations are valid for 7 days from the date of issue. Prices are subject to change based on market conditions and harvest season.

3. Minimum Order Quantity

Minimum order quantity is 1 Metric Ton (MT) for all product categories. Sample orders below MOQ may be arranged at the Seller's discretion.

4. Payment Terms

• First order: 100% advance payment via wire transfer (T/T)
• Repeat orders: 30% advance, 70% against copy of Bill of Lading
• Letter of Credit (L/C) accepted for orders above 10 MT

5. Shipping & Delivery

Available Incoterms: FOB (Indian port), CIF, CFR. Standard shipping ports: Nhava Sheva (JNPT), Mundra. Lead time is 15–21 days from confirmed order and payment receipt.

6. Quality & Claims

Every shipment is accompanied by a Certificate of Analysis (COA). Quality claims must be raised within 7 days of cargo receipt at destination port, supported by third-party inspection report. Claims are limited to the value of the affected goods.

7. Force Majeure

Neither party shall be liable for delays or failure to perform due to circumstances beyond reasonable control, including natural disasters, government actions, or disruptions to shipping routes.

8. Governing Law

These terms are governed by the laws of India. Any disputes shall be resolved through arbitration in Lucknow, Uttar Pradesh, India, under the Arbitration and Conciliation Act, 1996.
